1. Introduction

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you must stop using the Services immediately.
2. Definitions
Account – your user profile with login credentials allowing access to the Services.
Automated Trading System – the software, algorithms and tools provided by Transparency XXV LTD that execute buy and sell orders on your behalf for demonstration and educational purposes only.
User Content – any data, charts, feedback or information you submit through our Services.

3. Your Eligibility & Registration
3.1 You represent that you are at least 18 years old and have full legal capacity to enter into these Terms.
3.2 To access certain features, you must register for an Account and provide accurate, current and complete information. You are responsible for maintaining confidentiality of your password and for all activity under your Account. Notify us immediately of any unauthorized use.
4. Scope of Services
4.1 Transparency XXV LTD provides an Automated Trading System and related educational materials strictly for educational and demonstration purposes. The system simulates order execution and market conditions but does not constitute real trading or investment advice.
4.2 All metrics, back-tests and performance illustrations are hypothetical, based on historical data, and do not guarantee future results.
4.3 We reserve the right to modify, suspend or discontinue any part of the Services at any time without notice.
5. Fees & Payment
5.1 Access to the Automated Trading System and premium educational features requires payment of subscription fees as published on our Website.
5.2 All fees are non-refundable except as required by law or at our sole discretion.
5.3 We may change fees or billing methods upon 30 days’ notice. Continued use after any change constitutes acceptance of the new fees.
6. Risk & Educational Disclosure
6.1 The Automated Trading System is provided solely as a learning tool to illustrate how algorithmic strategies may perform under historical market conditions.
6.2 Transparency XXV LTD is not liable for any real-world trading losses incurred by you or any third party. You alone are responsible for decisions made in live markets.
6.3 Past simulated performance is not indicative of future real-world results. You should not invest money you cannot afford to lose.
7. Intellectual Property
7.1 All intellectual property rights in the Services, including software, documentation, logos and trademarks, belong to Transparency XXV LTD or its licensors.
7.2 You may not copy, distribute, create derivative works of, or otherwise exploit any part of the Services without our prior written consent.
8. Prohibited Conduct
You agree not to:
- Use the Services for any unlawful or fraudulent purpose;
- Reverse engineer, decompile or disassemble any software;
- Transmit any malicious code, viruses or spam;
- Circumvent any access controls or security measures;
- Impersonate any person or misrepresent your affiliation with any person or entity.

10. Disclaimer of Warranties & Liability

10.2 TRANSPARENCY XXV LTD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
10.3 TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRANSPARENCY XXV LTD SHALL NOT BE LIABLE FOR ANY DAMAGES WHATSOEVER, INCLUDING LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES OR ANY TRADING ACTIVITIES YOU UNDERTAKE BASED ON THEM.
11. Indemnification
You agree to indemnify, defend and hold harmless Transparency XXV LTD and its officers, directors, employees and agents from any claims, liabilities, losses, damages or expenses (including reasonable legal fees) arising out of your breach of these Terms or your use of the Services.
12. Termination
12.1 We may suspend or terminate your Account and access to the Services at any time, with or without cause, and without notice.
12.2 Upon termination, all rights granted to you under these Terms will immediately cease and you must cease all use of the Services.
12.3 Cancellation of your subscription by you will incur a non-refundable cancellation fee of £50.
13. Changes to Terms
We may modify these Terms at any time by posting the revised version on our Website. Changes become effective on posting. Your continued use after changes are posted constitutes acceptance.
14. Governing Law & Jurisdiction
These Terms are governed by the laws of England and Wales. Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

16. Force Majeure
Neither Transparency XXV LTD nor you shall be liable for any failure or delay in performing obligations under these Terms if and to the extent that such failure or delay is caused by events beyond the reasonable control of the affected party (“Force Majeure Event”), including—but not limited to—the following examples:
- Natural Disasters: earthquakes, floods, hurricanes, wildfires;
- Geopolitical Events: war, terrorism, riots, civil unrest;
- Government Actions: export/import restrictions, sanctions, sudden regulatory changes;
- Labor Disputes: strikes, lock-outs, industrial action;
- Health Crises: epidemics, pandemics, quarantine measures;
- Market Disruptions: major economic announcements, central bank policy shifts, financial market crashes;
- Infrastructure Failures: prolonged internet or power outages affecting trading systems.
The affected party shall:
- Promptly notify the other party in writing of the occurrence of the Force Majeure Event, its expected duration, and the extent to which performance is affected;
- Use all reasonable endeavors to mitigate the effect of the Force Majeure Event on the performance of its obligations;
- Resume full performance of its obligations as soon as reasonably practicable after the removal of the cause.
